Release and Waiver

 

I,                                                                    (print name), by signing below, irrevocably and unconditionally grant to Marvel Characters, Inc., and its parents, affiliates, subsidiaries, successors, assignees, and licensees (collectively, “Marvel”), the right to reproduce, illustrate, and portray my name, voice, persona, appearance, biographical material, image and/or likeness (collectively, my “Likeness") in connection with an Asprey Studio Limited custom comic book, and in any related advertising or promotion (collectively, the “Works”) such Works to be reproduced, distributed, displayed, used, and re-used, in whole or in part, in any and all languages, by any and all means, media, devices, processes, technology, and formats, now or hereafter known or devised, in perpetuity throughout the universe. I represent and warrant that any material I provide as part of my Likeness herein, including my profile reference photograph, does not violate any right of privacy or publicity, copyright or trademark or constitute defamatory, obscene or unlawful matter or otherwise violate or infringe any personal or proprietary r ights of any third party.

 

I agree that Marvel shall have no obligation to use my Likeness or the Works. I agree that Marvel may copyright the Works or any part thereof in its own name. I agree that no compensation or credit is or will be due to me in connection with this grant of rights to Marvel.

I release Marvel from any and all liability arising out of their acquisition or use of my Likeness herein. I agree not tomake and waive any claim, whether legal or equitable, against Marvel for the rights granted hereunder (including,without limitation, any claims based on invasion of privacy or publicity, defamation, moral rights, libel, or false light).

I represent and warrant that I have the complete and unfettered right to grant to Marvel the rights contained herein. I also represent and warrant that I have not been induced to execute this release by any agreements or statements made by Marvel or their representatives as to the nature or extent of Marvel’s proposed exercise of any of the rights granted to Marvel.

 

This Name, Voice, and/or Likeness Rights Release and Waiver (“Release”) and its validity, construction, and performance shall be governed in all respects by, and construed in accordance with, the internal laws of the State of New York applicable to agreements made and wholly performed therein without giving effect to principles of conflicts of laws. I consent and agree to the exclusive jurisdiction of the courts located in New York County, New York, with respect to any action which any party desires to commence arising out of or in connection with this Release and I waive any rights I may have to a trial by jury in respect of any litigation based on or in connection with this Release.

This Release contains the entire understanding and agreement with respect to the subject matter hereof and it replaces and supersedes all prior contracts and understandings (written or oral) concerning the same subject matter.If any provision of this Release is declared invalid or unenforceable, such provision shall be deemed modified to the extent necessary and possible to render it valid and enforceable. This Agreement is binding on my heirs, successors, and assigns. Marvel may freely license and assign, in whole or in part, any of its rights or obligations under this agreement.
